Terms of Service

Agreement

These Terms of Service ("Terms") form a binding agreement between you and ArchAI Academy LLC ("Courtly," "we," "us") regarding your use of the Courtly platform, web application, public booking pages, member portal, APIs, and any related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to operate a Courtly admin account. Players ages 13-17 may use the Service only with parental consent and through a family account managed by an adult.

Accounts and roles

The Service supports two account roles:

  • Operator (admin) accounts represent a club or facility. The person who creates the organization is responsible for that organization's billing and the conduct of their staff.
  • Player accounts represent individuals who book courts, register for sessions, or maintain a player profile.

You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@archaiacademy.com if you suspect unauthorized access.

Subscriptions and fees

Operators select a plan (Solo, Club, Pro, or Enterprise). Plans renew automatically until cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing cycle and is not pro-rated.

Courtly charges a platform fee on payments processed through the Service (currently 2.5%; we will give 30 days' notice of any increase). Platform fees are deducted automatically and visible on each transaction.

Refunds for subscription fees are at our discretion; refunds for court bookings, lessons, and event registrations are governed by the operator's own refund policy and the Stripe terms incorporated into payment processing.

Payment processing

Payments are processed by Stripe, Inc. By using the Service for payment, you also agree to Stripe's Stripe Connected Account Agreement and Stripe Services Agreement. Operators are responsible for accurate identity, tax, and bank information provided to Stripe through Courtly.

Acceptable use

You agree not to:

  • Violate any law, regulation, or third-party right.
  • Misrepresent your identity, ratings, or affiliation.
  • Upload content that is unlawful, harassing, defamatory, or hateful.
  • Attempt to circumvent authentication, rate limits, or other security controls.
  • Probe, scan, reverse engineer, or stress-test the Service without our written consent.
  • Use the Service to send unsolicited communications.
  • Use AI matchmaking outputs to discriminate against players on the basis of legally protected characteristics.

We may suspend or terminate your account for violations, with notice when reasonable.

Your content

You retain ownership of the content you submit to the Service (member rosters, booking notes, event descriptions, etc.). You grant Courtly a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, modify, and process your content solely as necessary to operate and improve the Service. We do not use your content to train AI models for general use; we may use aggregated, de-identified data to improve matchmaking quality.

AI matchmaking

Courtly's matchmaking engine uses statistical and AI techniques to suggest pairings. Outputs are recommendations — operators are solely responsible for the final allocation, fairness of play, and any disputes. Courtly disclaims liability for outcomes resulting from AI suggestions, including (without limitation) match quality, player satisfaction, or any inferred ratings.

Service availability

We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with notice when reasonable. Scheduled maintenance and emergency fixes are part of normal operation.

Intellectual property

Courtly and ArchAI Academy LLC own the Service, including all software, designs, and trademarks. These Terms grant you a limited, non-exclusive, revocable license to use the Service for its intended purpose. You may not copy, sublicense, or create derivative works without our written consent, except as expressly permitted.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURTLY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend and indemnify Courtly, its affiliates, and their respective officers, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may close your account at any time. We may suspend or terminate your account if you violate these Terms or for legal, security, or operational reasons. Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) will survive termination.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.

Changes

We may update these Terms from time to time. Material changes will be communicated by email and reflected in the effective date above. Continued use after changes take effect constitutes acceptance of the updated Terms.
